A company that has stopped operating continues to have annual filing obligations until it is formally struck off the register. Section 248(2) of the Companies Act allows a company with no operations and no liabilities to apply for voluntary strike-off in Form STK-2. Frequently Asked Questions

Which companies can apply for strike-off?↓

A company that has not commenced business within a year of incorporation, or has not carried on business or operations for two immediately preceding financial years, and has not applied for dormant status, can apply under Section 248(2).

Do pending annual filings have to be completed first?↓

MCA requires the company to have filed its financial statements and annual returns up to the end of the financial year in which it ceased operations. Pending forms must be filed with additional fees before STK-2.

What approvals are needed internally?↓

A special resolution, or consent of at least 75% of members by paid-up share capital, is required, along with board approval and declarations from each director.

Can a company with bank loans or liabilities be struck off?↓

No. All liabilities must be extinguished, assets disposed of, and the bank account closed before filing. Creditors and authorities can object during the notice period.

How long does strike-off take?↓

After STK-2 is filed, the ROC issues a public notice inviting objections. If no objections are received, the company is struck off. The overall time depends on ROC processing and cannot be guaranteed.

Can an LLP be closed the same way?↓
