AOC-4 must be filed within 30 days of the AGM, and MGT-7 or MGT-7A within 60 days of the AGM. The AGM must generally be held within six months of the financial year-end, that is by 30 September.
Yes. Every company must file financial statements and annual returns, and get its accounts audited, even with zero activity. Continuous non-filing can lead to strike-off and director disqualification.
MCA charges an additional fee of ₹100 per day of delay for each form, with no upper cap. Penalties under the Companies Act may also apply to the company and its officers.
One Person Companies and small companies file the simplified annual return in Form MGT-7A. Other companies file MGT-7.
A company must hold at least four board meetings a year with no more than 120 days between two meetings. OPCs, small companies and dormant companies need at least one meeting in each half of the calendar year with a gap of at least 90 days.
