About FEMA Compliance Services

The Foreign Exchange Management Act (FEMA) is the Indian law that governs money flowing into and out of India, and any Indian company or LLP with foreign shareholders, overseas investments or cross-border transactions has reporting duties to the Reserve Bank of India under it. These include the annual return on Foreign Liabilities and Assets (FLA), filings on the RBI FIRMS portal whenever shares are issued to or transferred by a non-resident, and reporting of investments the Indian entity makes abroad. From Italy to India: what to know

  • India and Italy have a double-taxation avoidance agreement (DTAA) in force. Dividends, royalties, fees and interest paid to the Italian parent may qualify for treaty rates on production of a tax residency certificate and Form 10F — we confirm the applicable rate for your structure.
  • Our working hours (10am–7pm IST) are roughly 5:30 am–2:30 pm in Milan. We schedule calls inside that overlap or at a time that suits you.
  • Fees are invoiced in INR and can be paid by EUR card (your bank converts) or by wire transfer to our Indian bank account.

Documents required

  • Audited financial statements for the financial year (or provisional, for the FLA return)

  • Details of shares issued or transferred during the year, with inward remittance advices (FIRC) and KYC from the AD bank
  • Valuation certificate from a chartered accountant or merchant banker for each issue or transfer
  • Details of investments made by the Indian entity in other companies, in India or abroad
  • Previous FLA returns and FIRMS portal acknowledgements, if any
  • Entity user and business user credentials on the RBI FIRMS portal, or authorisation to create them

Do I need to come to India for FEMA Compliance?↓

No. Everything is done remotely for clients in Italy. Signatures are handled with digital signature certificates and apostilled documents; we represent you before the Indian authorities.

How are my Italy documents legalised for India?↓

Italy is party to the Hague Apostille Convention, so each document is notarised and then apostilled by the competent authority in Italy. India accepts apostilled documents without further embassy attestation. We send you a checklist of exactly which documents need this.

Can I pay from Italy?↓

Yes. You pay in INR by international card (EUR is converted by your bank) or by wire transfer; the GST invoice appears in your dashboard immediately.

When can we talk?↓

Our team works 10am–7pm IST, which is about 5:30 am–2:30 pm in Milan. Book a call inside that window or tell us a time that suits you.

Who must file the FLA return?↓

Every Indian company or LLP that has received foreign direct investment or made overseas investment and has those balances outstanding at the end of the financial year. Under current rules it is due by 15 July each year, based on audited or provisional accounts, with a revised return if audited figures differ.

What are the deadlines for FC-GPR and FC-TRS?↓

FC-GPR must be filed within 30 days of allotting shares to a non-resident, and FC-TRS within 60 days of the transfer or receipt of funds, whichever is earlier, under current rules. Both are filed on the RBI FIRMS portal through your AD bank.

What happens if a filing was missed in the past?↓

RBI allows regularisation by paying a late submission fee for delays within the permitted period, and otherwise through a compounding application. We review your history, compute the exposure and prepare the application. The outcome rests with RBI.

Does this service require anyone from the parent to be in India?↓

No. Filings are made online by Fastlegal using the FIRMS portal and the AD bank. Parent-company documents such as board resolutions can be signed abroad and shared digitally.

Is the annual FLA return required if there was no new investment this year?↓

Yes. The FLA return reports outstanding foreign liabilities and assets, so it is required every year the balances exist, even with no fresh transactions.
